    1. Acceptance of Terms

    Welcome to SiteJourney, operated by SiteJourney, Inc. ("SiteJourney", "we", "us", or "our"). By accessing or using our AI-powered website building platform at sitejourney.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms and conditions, you may not access or use the Service.

    2. Eligibility

    You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that:

    • You are at least 18 years of age
    • You have the legal authority to enter into this agreement
    • You will not violate any laws or regulations in your use of the Service
    • All information you provide is accurate and truthful

    Export and Sanctions Compliance: You represent that you are not located in, and are not a national of or controlled by a party in, any country or region subject to U.S. embargo or comprehensive sanctions, and that you are not identified on any U.S. government restricted-party or sanctions list. You will not use the Service in violation of applicable U.S. export-control or economic-sanctions laws.

    3. Description of Service

    SiteJourney is an AI-powered platform that enables users to create, customize, and publish websites. Our Service includes artificial intelligence tools, website templates, hosting capabilities, domain registration facilitation, and related features. We reserve the right to modify, update, or discontinue any aspect of the Service at any time without prior notice.

    4. User Accounts and Registration

    To access certain features of our Service, you must create an account. When creating an account, you agree to:

    • Provide accurate, complete, and current information
    • Maintain and promptly update your account information
    • Maintain the security of your account credentials
    • Accept responsibility for all activities under your account
    • Notify us immediately of any unauthorized use of your account

    5. User Content and Intellectual Property Rights

    Your Content: You retain ownership of all content you upload, create, or publish through our Service ("User Content"). You are solely responsible for your User Content and the consequences of sharing it.

    Your Representations: You represent and warrant that you own or have all rights, licenses, and permissions necessary to upload, use, and publish your User Content; that your User Content and published sites do not infringe any third party's intellectual-property, privacy, publicity, or other rights and do not violate any law; and that all information you provide (including registrant and billing information) is accurate and current.

    License to Us: By uploading or creating User Content, you grant SiteJourney a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, store, display, reproduce, modify, create derivative works of, perform, and distribute your User Content solely for the purpose of operating, developing, providing, securing, and improving our Service. This license includes the right to transmit your User Content to the third-party providers described in Section 14 as necessary to deliver the Service.

    Our Content: The Service, including all software, designs, text, graphics, and other materials, is owned by SiteJourney and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our content without explicit written permission.

    6. AI-Generated Output

    The Service uses third-party artificial-intelligence models to generate website code, text, images, and other materials ("AI Output"). AI Output is produced automatically and may be inaccurate, incomplete, non-functional, outdated, or offensive, and may unintentionally resemble or reproduce third-party material.

    Your Responsibility: You are solely responsible for reviewing, testing, and verifying all AI Output before publishing or relying on it. SiteJourney makes no representation that AI Output is accurate, original, non-infringing, complete, or fit for any particular purpose, and you will not represent that AI Output has been reviewed, verified, or endorsed by SiteJourney.

    Ownership: To the extent SiteJourney holds any rights in AI Output delivered to you, it assigns those rights to you on an "as is" basis upon generation. You acknowledge that AI Output may not be eligible for intellectual-property protection and that similar or identical output may be generated for and provided to other users.

    7. Prohibited Uses

    You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, or impair the Service. Prohibited activities include:

    • Uploading or sharing illegal, harmful, threatening, abusive, or defamatory content
    • Infringing on intellectual property rights of others
    • Transmitting spam, malware, viruses, or malicious code
    • Attempting to gain unauthorized access to our systems or other users' accounts
    • Reverse engineering, decompiling, or disassembling our software
    • Using automated tools to scrape or harvest data from the Service
    • Creating fake accounts or impersonating others
    • Violating any applicable laws or regulations

    8. Custom Scripts and Third-Party Code

    Our Service allows you to inject custom scripts, tracking pixels, and third-party integrations (including Meta Pixel, Google Tag Manager, Google Ads, Google Analytics, and arbitrary HTML/JavaScript snippets) into your published websites. You are solely and fully responsible for any code you add and for ensuring it complies with all applicable laws, regulations, and third-party terms.

    You expressly agree NOT to use custom scripts or third-party code for any malicious, deceptive, or unlawful purpose, including but not limited to:

    • Distributing malware, viruses, worms, trojans, ransomware, cryptominers, or any other malicious code
    • Phishing, credential harvesting, fraud, scams, or social engineering attacks
    • Unauthorized tracking, surveillance, fingerprinting, or collection of personal data without lawful basis or required consent (including in violation of GDPR, CCPA, ePrivacy, or similar laws)
    • Session hijacking, clickjacking, cross-site scripting (XSS), or any attempt to compromise visitors' devices, browsers, or accounts
    • Redirecting visitors to harmful, illegal, or deceptive destinations
    • Displaying or facilitating illegal content, including content that infringes intellectual property rights
    • Circumventing security measures, ad blockers, content filters, or browser protections in a deceptive manner
    • Defaming, harassing, or harming any person or entity
    • Violating the terms of service of any third-party platform, network, or API

    Consent and Disclosures: If your custom scripts or integrations collect, store, or transmit personal data, you are solely responsible for providing all legally required notices, cookie banners, privacy policies, and obtaining all required user consent.

    Disclaimer: SiteJourney does not review, monitor, endorse, or guarantee the safety of any custom script or third-party code you add. We provide the injection capability as a convenience only. All liability arising from custom scripts or third-party code rests entirely with you.

    Enforcement: We reserve the right, at our sole discretion and without prior notice, to disable, remove, or block any custom script, integration, page, or site that we reasonably believe violates this section, and to suspend or terminate the responsible account. You agree to indemnify SiteJourney for any claims, losses, or damages arising from custom scripts or third-party code you add (see Section 16 — Indemnification).

    9. Stock Images and Third-Party Content

    The Service may surface images and other content from third-party providers (including, without limitation, Unsplash and Pixabay). Such images are licensed to you by the applicable provider under that provider's license terms — not by SiteJourney.

    You are responsible for complying with those terms, including any attribution requirements, and for confirming that any image or third-party content you publish is appropriately licensed for your intended use. SiteJourney does not own this content, grants no rights in it, and disclaims all liability arising from your use of it.

    10. Domain Registration Services

    If you register a domain through the Service, SiteJourney facilitates the registration through a third-party registrar acting as the sponsoring registrar; SiteJourney is not the registry or registrar of record. By registering a domain you agree to the registrar's registration agreement and to all applicable policies of the Internet Corporation for Assigned Names and Numbers (ICANN), including the Registrant Rights and Responsibilities and the Uniform Domain-Name Dispute-Resolution Policy.

    Registrant Accuracy: You are the registrant and must provide and maintain accurate, current contact information. Providing false information or failing to respond to verification requests may result in suspension or cancellation of the domain.

    Fees and Auto-Renewal: Domain fees are non-refundable once a registration, renewal, or transfer is submitted. Domains renew automatically at the then-current price unless you disable auto-renewal before the renewal date. Maintaining and renewing a domain you wish to keep is your responsibility.

    No Liability for Registry Actions: SiteJourney is not liable for registry, registrar, or ICANN actions, including suspension, deletion, transfer, redemption, or price changes. Upon termination of your account or non-payment, your domain may expire or become subject to the registrar's deletion and redemption policies.

    11. End-User Data on Published Sites

    Your published sites may collect data from your visitors (for example, through forms, analytics, or tracking pixels). As between you and SiteJourney, you are the controller/business for all such end-user data, and SiteJourney acts as a processor/service provider on your behalf and on your documented instructions.

    You are solely responsible for: (a) maintaining a compliant privacy policy and cookie/consent mechanism on your sites; (b) establishing a lawful basis and obtaining all consents required by applicable law (including GDPR, CCPA/CPRA, and ePrivacy rules); and (c) responding to end-user rights requests. You will indemnify SiteJourney against any claim by a visitor or regulator arising from data collected through your sites.

    Where required by applicable law, the parties will enter into a separate Data Processing Addendum, which is incorporated into these Terms by reference.

    12. Payment Terms and Billing

    Subscription Plans: Certain features require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

    Auto-Renewal and Cancellation: By starting a paid subscription you authorize SiteJourney to charge your payment method on a recurring basis at the then-current price until you cancel. You may cancel at any time through your account settings, effective at the end of the current billing period.

    Credits: Paid and free plans may include an allotment of AI credits. Credits have no cash value, are non-refundable, are consumed as described in the Service, and do not roll over to a subsequent period unless expressly stated.

    Failed Payments: If a charge fails, we may retry the charge and suspend paid features until payment succeeds.

    Taxes: Fees are exclusive of taxes. You are responsible for all applicable sales, use, VAT, or similar taxes, excluding taxes on SiteJourney's net income.

    Price Changes: We may change subscription prices with 30 days advance notice. Price changes will not affect your current billing cycle but will apply to subsequent billing cycles. Domain fees are billed separately and are governed by Section 10.

    13. Service Availability and Modifications

    We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect service availability. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without liability to you.

    14. Third-Party Services and Subprocessors

    Our Service may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of use of any third-party services. Your interactions with third parties are solely between you and the third party.

    Subprocessors: To provide the Service, you authorize SiteJourney to transmit your prompts, User Content, and related data to third-party artificial-intelligence and infrastructure providers (including, for example, Anthropic, Google, Supabase, and Stripe) for processing under their respective terms. SiteJourney is not responsible for the acts or omissions of these providers. You agree not to submit content you are not permitted to share with such providers, including regulated, export-controlled, or third-party confidential information.

    15. Disclaimers and Limitation of Liability

    AS-IS BASIS: THE SERVICE, INCLUDING ALL AI OUTPUT, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SITEJOURNEY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL. WITHOUT LIMITING THE FOREGOING, SITEJOURNEY IS NOT LIABLE FOR AI OUTPUT; THIRD-PARTY CONTENT, SCRIPTS, OR SERVICES; STOCK IMAGES; DOMAIN REGISTRY OR REGISTRAR ACTIONS; OR ANY LOSS OF DATA.

    DAMAGE CAP: OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER. THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN, APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

    16. Indemnification

    You agree to indemnify, defend, and hold harmless SiteJourney, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your User Content, any AI Output you publish, any custom scripts or third-party code you add, data collected through your published sites, or your violation of these Terms or applicable law.

    SiteJourney may, at its option, assume the exclusive defense and control of any matter subject to indemnification, and you will cooperate and pay reasonable costs. You will not settle any matter affecting SiteJourney without its prior written consent. This obligation survives termination of these Terms.

    17. Digital Millennium Copyright Act (DMCA)

    We respect intellectual property rights and respond to valid DMCA takedown notices. If you believe content on the Service infringes your copyright, send a written notice to our Designated Agent at the address below. Your notice must include all elements required by 17 U.S.C. § 512(c)(3), including: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and its location; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the copyright owner's behalf.

    Subject: DMCA Takedown Request

    Counter-Notification: If your content was removed and you believe it was removed in error, you may submit a counter-notification containing the elements required by 17 U.S.C. § 512(g). We may restore the content if the original complainant does not file a court action within the statutory period.

    Repeat Infringers: We will, in appropriate circumstances, suspend or terminate the accounts of users who are repeat infringers.

    18. Termination and Suspension

    We may suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service will cease immediately.

    Your Data and Backups: You are responsible for maintaining your own backups of your User Content, and SiteJourney is not liable for any loss or corruption of data. Following termination, SiteJourney may provide a limited window (generally up to 30 days) to export your User Content, after which it may be permanently deleted in the ordinary course, subject to legal retention obligations and routine backup cycles. Deletion requests are handled as described in our Privacy Policy.

    19. Governing Law and Jurisdiction

    These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles. Subject to Section 20 (Dispute Resolution and Arbitration), any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in the county of SiteJourney's principal place of business in Florida, and you consent to the personal jurisdiction of such courts.

    20. Dispute Resolution and Arbitration

    Mandatory Arbitration: Except as set out below, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. The seat of arbitration shall be the county of SiteJourney's principal place of business in Florida.

    Class Action Waiver: You agree that disputes will be resolved individually and you waive any right to participate in a class action lawsuit or class-wide arbitration.

    30-Day Opt-Out: You may opt out of this arbitration agreement by emailing legal@sitejourney.ai within 30 days of first accepting these Terms.

    Delegation: The arbitrator has exclusive authority to resolve any dispute relating to the scope, enforceability, or formation of this arbitration agreement.

    Coordinated Filings: If 25 or more similar arbitration demands are submitted by or with the assistance of the same or coordinated counsel, the demands will be administered in staged batches and bellwether proceedings as the parties or the arbitrator direct.

    Exceptions: Either party may pursue a qualifying claim in small claims court, and either party may seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property or violation of Section 8 (Custom Scripts and Third-Party Code).

    21. Force Majeure

    SiteJourney is not liable for any delay or failure to perform caused by events beyond its reasonable control, including failures of third-party providers (such as hosting, artificial-intelligence, payment, or registrar services), internet or utility failures, acts of God, labor disputes, or governmental action.

    22. General Provisions

    Assignment: You may not assign these Terms without SiteJourney's prior written consent. SiteJourney may assign these Terms, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind permitted successors and assigns.

    Notices: We may provide notices to you by email or through the Service, and you consent to receiving notices electronically. Legal notices to SiteJourney must be sent to legal@sitejourney.ai.

    No Waiver: Our failure to enforce any provision is not a waiver of that provision or of our right to enforce it later.

    Feedback: If you provide SiteJourney with suggestions or feedback, you grant SiteJourney a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or obligation to you.

    Beta Features: Features identified as beta, preview, or experimental are provided "as is," may be changed or withdrawn at any time, and are excluded from any service commitments.

    Survival: Provisions that by their nature should survive termination — including those concerning intellectual property, AI Output, disclaimers, limitation of liability, indemnification, arbitration, and these general provisions — survive termination of these Terms.

    Severability and Entire Agreement: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with any policies referenced herein, constitute the entire agreement between you and SiteJourney regarding the Service and supersede all prior agreements and understandings.

    23. Changes to Terms

    We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through the Service. Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms.
